Terms of Service

These terms apply to everyone who uses Zilli. By creating an account you agree to them.

Pending legal review

This document was drafted to describe how the product works. It has not been reviewed by qualified legal counsel, and it is not legal advice. Each section is written to stand alone so it can be reviewed and replaced.

1. The service

Zilli provides a private network that matches members with complementary currency availability and introduces them to one another, subject to both members agreeing. Please read the product disclaimer, which forms part of these terms and describes the limits of what the service is.

2. Eligibility and membership

You must be at least 18. Membership is by invitation while the network is invitation-only, and an invitation grants the right to register and nothing more.

You must complete identity verification before you can publish a request or request an introduction. Your account is yours alone; you may not share it, sell it, transfer it, or let anyone else use it.

3. Accurate information

Everything you tell the network must be true. That includes your identity, your location, and what you say you have and need. Publishing a request you cannot or do not intend to act on wastes other members' time and is a breach of these terms.

4. How members may behave

The Community Guidelines form part of these terms. In short: do not impersonate anyone, do not deceive, do not harass, do not spam, do not try to get around the platform's safety features, and do not create more than one account.

5. Introductions and connections

An introduction requires both members to agree. Either member may decline without giving a reason, withdraw a request before it is answered, leave a connection at any point, or block the other member.

What members agree between themselves after an introduction is entirely theirs. Zilli is not a party to it and gives no warranty about it.

6. Contact details

Contact details are shared only when a member chooses to share them with a specific connection. If another member shares theirs with you, use it only for that connection and for nothing else.

7. What we may do

We may restrict, suspend, or close an account that breaches these terms, that we reasonably believe is being used to deceive or harm another member, or where we are required to. We may suspend a request, invalidate a match, pause a conversation while a report is reviewed, or ask a member to verify again.

Where it is practical and appropriate we will tell you what has happened and why.

8. Closing your account

You may close your account at any time from Settings. Some records are kept afterwards, described in the Privacy Policy.

9. Availability

We aim to keep the service running but we do not promise it will be uninterrupted or error-free. We may change, suspend, or discontinue parts of it.

10. You deal with other members at your own risk

This is the most important clause in these terms. Zilli introduces members to one another. It is not a party to, does not supervise, does not verify, and takes no part in whatever two members agree between themselves after an introduction.

You decide who to deal with, on what terms, and whether to proceed at all. You are responsible for that decision and for its consequences. Identity verification confirms that a member is who they say they are; it is not a statement about their honesty, their means, or their intentions. Match compatibility describes how two requests line up on amount, location, timing, and currency; it is not a rating of a person and not a prediction that anything will go well.

Zilli gives no warranty, express or implied, that any member will do what they said they would, that any arrangement will complete, or that any member is suitable to deal with.

11. Limitation of liability

To the fullest extent the applicable law allows, Zilli, its officers, employees, and contractors are not liable for:

  • anything a member does or fails to do, on or off the platform;
  • any loss of money, property, or opportunity arising from a connection or from any arrangement between members;
  • the accuracy of anything a member states about what they have, need, or intend;
  • any indirect, incidental, special, or consequential loss, and any loss of profit, revenue, goodwill, or data;
  • interruption, unavailability, or error in the service.

Where liability cannot lawfully be excluded, it is limited to the greater of the amount you have paid Zilli in the twelve months before the claim, or USD 100.

Some jurisdictions do not allow certain exclusions or limitations. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded. Where an exclusion is not permitted, it applies to the maximum extent that is permitted.

12. Your responsibility for your own compliance

You are responsible for complying with every law that applies to you where you are. Depending on your location that may include currency controls, exchange-control approvals, limits on cross-border arrangements, reporting duties, tax, and rules about the source and destination of funds.

Zilli does not assess whether anything you plan to do is permitted where you are, and nothing on this site is legal, tax, financial, or regulatory advice. If you are not certain, obtain advice from a qualified professional before you act. Using this service does not make anything lawful that would otherwise not be.

13. Indemnity

You agree to indemnify and hold harmless Zilli against any claim, demand, loss, liability, or reasonable cost (including legal costs) brought by a third party and arising from your use of the service, from anything you agree or do with another member, from information you provide that is untrue, or from your breach of these terms, the Community Guidelines, or any law that applies to you.

This does not apply to the extent the claim arises from Zilli's own breach of these terms.

14. Changes

We may update these terms. If a change materially affects your rights we will tell you before it takes effect.

15. Governing law and disputes

The law that governs these terms and the forum for any dispute have not yet been settled and will be confirmed before the network opens to the public. Until then, nothing in these terms should be read as a choice of law or a submission to any particular jurisdiction.
